British Competition Authority Gives Preliminary Green Light to Synopsys Acquisition of Ansys

CMA signals approval of the Synopsys-Ansys merger with conditions, final decision expected by March.

The UK competition authority Competition and Markets Authority (CMA) announced on Wednesday that it could approve the planned $35 billion acquisition of chip design software company Ansys by Synopsys, after the companies offered concessions.

Synopsys and Ansys recently made agreements with Keysight to sell business divisions to allay regulatory concerns. Specifically, this involves Synopsys' Optical Solutions Group and Ansys' PowerArtist software tool.

The CMA stated that the proposed divestitures might be sufficient to resolve the competition concerns. It now has until March 5 to make a final assessment of the offered concessions, with the deadline being extendable under special circumstances until May 6.

In parallel, the European Commission is also reviewing the takeover. It intends to decide by January 10 whether to approve the deal or initiate an in-depth investigation.

A Synopsys spokesperson welcomed the CMA's preliminary decision and expressed optimism that the acquisition process could be completed as planned in the first half of 2025. The transaction would significantly expand Synopsys' product range in the field of simulation software for microchip development, the company explained.
